Terms of Service

These terms govern your use of the Urjob recruitment platform operated by ScaleX Innovation SARL.

Version 1.0 · Last updated

These Terms of Service (the "Terms") form a binding agreement between you and ScaleX Innovation SARL, a limited liability company registered in Tunisia under RNE 1834205F, with its registered office at Route de Mahdia km 0.5, Immeuble Al Janah Al Dhahabi, 3000 Sfax Médina, Tunisia ("Urjob", "we", "us").

By creating an account, signing in, or otherwise using the platform, you confirm that you have read and accept these Terms. If you are accepting on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" refers to that organisation.

If you do not accept these Terms, do not use the platform.

1. Definitions

  • "Platform" means the Urjob applicant tracking system, including its web applications, APIs and related services.
  • "Customer" means the organisation that subscribes to the Platform to manage its recruitment.
  • "Authorised User" means an individual permitted by a Customer to access the Platform under that Customer's account.
  • "Candidate" means an individual whose personal data is processed on the Platform in connection with a recruitment process.
  • "Customer Data" means all data submitted to the Platform by or on behalf of a Customer, including job descriptions, CVs, candidate profiles, application records and interview material.

2. Eligibility and accounts

You must be at least 16 years old, and of legal age to enter into a contract in your jurisdiction, to hold an account.

You are responsible for the accuracy of your registration details, for keeping your credentials confidential, and for all activity carried out under your account. You must notify us without undue delay at the contact address below if you suspect unauthorised access.

A Customer is responsible for the acts and omissions of its Authorised Users, and for managing their access rights within the Platform.

3. The service

The Platform provides tools to publish job openings, receive and organise applications, manage recruitment pipelines, schedule and conduct interviews, and analyse recruitment activity. Certain features use artificial intelligence, as described in section 5.

We may add, modify or discontinue features. Where a change materially reduces core functionality, we will give reasonable prior notice to the Customer.

We aim to keep the Platform available continuously but do not guarantee uninterrupted access. Planned maintenance will be scheduled to limit disruption where reasonably practicable.

4. Plans, fees and credits

Access may be offered on free, trial or paid plans. The features, usage allowances and price of each plan are those presented at the time of subscription.

Certain AI-assisted features consume credits. Credit consumption is shown in your account. Unless stated otherwise, credits are tied to the subscription period and do not carry over on expiry.

Fees are stated exclusive of taxes unless indicated otherwise, and are payable in advance. Except where required by law, fees already paid are non-refundable.

We may change pricing for a renewal term by giving notice before that term begins. Continuing to use the Platform after the change takes effect constitutes acceptance of the new pricing.

5. Artificial intelligence features — scope and limits

The Platform uses AI to assist recruitment work: extracting structured information from uploaded documents, generating summaries and interview questions, suggesting matches between candidates and openings, and supporting AI-assisted interviews.

AI outputs are assistive and probabilistic. They may be incomplete, inaccurate or out of date. They are provided as decision support only and must not be treated as a substitute for human judgement.

You are responsible for reviewing AI-generated content before relying on it, and for ensuring that any recruitment decision is made by a human who has considered the underlying information.

  • You must not use the Platform to make a decision producing legal or similarly significant effects about a Candidate based solely on automated processing, without meaningful human review.
  • You must not use AI features to infer or act upon special categories of personal data (such as health, religion, ethnic origin, political opinions or sexual orientation), nor to discriminate on any protected ground.
  • Where required by applicable law, you must inform Candidates that AI-assisted tools are used in the recruitment process, and honour their rights in relation to that processing.
  • You remain responsible for compliance with employment, equal-treatment and AI-governance laws applicable to you, including obligations that apply to the use of AI in recruitment.

6. Customer Data and data protection roles

As between the parties, Customer Data belongs to the Customer. We claim no ownership over it.

For personal data contained in Customer Data — principally Candidate data — the Customer acts as the data controller and we act as the data processor, processing that data on the Customer's documented instructions. Our Privacy Policy sets out how this works in practice.

The Customer warrants that it has a lawful basis to collect the personal data it submits, that it has provided the required information to Candidates, and that its instructions to us do not cause us to breach applicable data protection law.

We grant you a licence to use the Platform; you grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Platform, to secure it, and to comply with law.

7. Acceptable use

You must not, and must not permit anyone else to:

  • upload content that is unlawful, defamatory, infringing, or that you have no right to submit;
  • upload malware, or attempt to gain unauthorised access to the Platform, other accounts, or the underlying infrastructure;
  • probe, scan or test the vulnerability of the Platform without our prior written consent;
  • scrape, harvest, or systematically extract data from the Platform other than through documented interfaces;
  • resell, sublicense or otherwise make the Platform available to third parties outside your organisation, except as expressly permitted;
  • use the Platform to send unsolicited communications, or in a way that interferes with its operation or with other customers;
  • reverse engineer or attempt to derive source code, except to the extent that restriction is prohibited by law.

8. Third-party services

The Platform relies on third-party providers for hosting, storage, communications and AI processing. These are listed in our Privacy Policy. We select providers with appropriate safeguards, but we are not responsible for the acts of third parties beyond the commitments we make in these Terms and in our data processing arrangements.

Where you connect the Platform to your own third-party tools, your use of those tools is governed by their terms, not ours.

9. Intellectual property

The Platform, including its software, interfaces, documentation and branding, and all improvements to it, remain our property or that of our licensors. Nothing in these Terms transfers those rights to you.

If you send us feedback or suggestions, we may use them to improve the Platform without obligation or compensation to you.

10. Confidentiality

Each party may receive non-public information of the other. The receiving party will protect it with at least the care it applies to its own confidential information, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by equivalent obligations.

This does not apply to information that is or becomes public without breach, was already lawfully known, or is independently developed. Disclosure required by law is permitted, with prior notice where lawful.

11. Warranties and disclaimers

We warrant that we will provide the Platform with reasonable skill and care.

Beyond that, and to the maximum extent permitted by law, the Platform is provided "as is" and we exclude all other warranties, whether express or implied, including fitness for a particular purpose and non-infringement.

We do not warrant that AI outputs are accurate or complete, that the Platform will be error-free, or that any particular recruitment outcome will be achieved.

12. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or loss or corruption of data that is not caused by its breach.

Subject to the above, each party's total aggregate liability arising out of or in connection with these Terms is limited to the fees paid or payable by the Customer for the Platform in the twelve months preceding the event giving rise to the claim.

13. Indemnity

You will indemnify us against third-party claims arising from Customer Data, from your use of the Platform in breach of these Terms, or from a recruitment decision you make.

We will indemnify you against third-party claims that the Platform, used in accordance with these Terms, infringes that party's intellectual property rights.

14. Suspension and termination

You may stop using the Platform at any time; a Customer may terminate its subscription in accordance with its plan.

We may suspend access immediately where necessary to protect the Platform, other customers or third parties — for example in response to a security incident, unlawful content, or non-payment — and will restore access once the cause is resolved.

Either party may terminate for material breach that remains uncured 30 days after written notice.

On termination, your right to access the Platform ends. You may request an export of Customer Data before termination takes effect. After the period stated in our Privacy Policy, we will delete or anonymise Customer Data, except where retention is required by law.

15. Changes to these Terms

We may amend these Terms. Where a change is material, we will give reasonable prior notice — by email or in the Platform — before it takes effect.

Continuing to use the Platform after a change takes effect constitutes acceptance. If you do not accept the change, you may terminate before it takes effect.

16. Governing law and disputes

These Terms are governed by the laws of Tunisia, without regard to conflict-of-law rules.

The parties will attempt to resolve any dispute in good faith. Failing resolution, the competent courts of Sfax, Tunisia have exclusive jurisdiction — without prejudice to any mandatory right a consumer may have to bring proceedings in their country of residence.

17. General

If any provision is held unenforceable, the remainder stays in force. A failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties on this subject.
